Offplate: Single-User Commercial License

This license is an agreement between you, the individual who purchased Offplate (the "Kit"), and Innovia Solutions, LLC (the "Licensor"). By downloading, copying, or using the Kit, you agree to these terms. If you did not purchase the Kit or receive it from the Licensor, you have no license to use it.

1. Grant

The Licensor grants you a non-exclusive, non-transferable, perpetual license to:

Use the Kit to create and maintain control-plane repositories for your own use, personal or professional.
Install and run the Kit and anything you compose from it on any number of devices that you personally own or control.
Modify the Kit and the files it generates.

2. One user

The license covers one named individual. Each additional person who uses the Kit, including coworkers or members of a team or company, needs their own license. A business that wants to use the Kit for several people should contact the Licensor about a team license.

3. Your output

Repositories you compose with the Kit ("Output") are yours to use and keep private. Output contains portions of the Kit, and those portions remain covered by this license. You may share short excerpts of Output (for example, a few rules or a single script) for discussion, support, or showing your setup, as long as you do not share a substantial part of the Kit.

4. Restrictions

You may not:

Sell, sublicense, rent, lend, or redistribute the Kit, or any substantial part of it, whether modified or unmodified, for free or for payment.
Publish the Kit, or Output containing a substantial part of the Kit, in a public repository, package registry, template gallery, or marketplace.
Use the Kit to build a product or service that competes with the Kit, such as another starter kit, template pack, or course material built from its contents.
Remove or alter copyright or license notices.

5. Your data

The Kit runs on your own machine and in accounts you control. It does not send your data to the Licensor, and the Licensor does not receive, store, or have access to anything you put in the Kit or its Output.

6. AI agents and your accounts

The Kit configures an AI agent that you run with third-party software. AI agents can make mistakes, misread instructions, or act on incorrect information. You choose the agent's autonomy level and which accounts and tools it can reach, and you are responsible for reviewing what it does, including messages, purchases, payments, and changes to files or accounts. Playbooks and rules in the Kit are general procedures, not financial, legal, tax, or medical advice.

7. Third-party tools

The Kit works with software and services it does not include, such as Claude Code, Node.js, git, GitHub CLI, and MCP connectors. Your use of those is governed by their own terms and pricing. The Licensor is not responsible for them. The Kit is not affiliated with or endorsed by Anthropic.

8. Version covered

This license covers the version of the Kit you purchased, as delivered at the time of purchase. The purchase price pays for that version only. It does not include support, maintenance, or any other version of the Kit.

9. Refunds

You may request a full refund within 14 days of purchase by emailing the address below from the email used for the purchase. When a refund is issued, this license ends, and you must stop using the Kit and delete your copies of it.

10. No warranty

THE KIT IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of liability

TO THE EXTENT PERMITTED BY LAW, THE LICENSOR IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOST DATA, PROFITS, OR ANY ACTION TAKEN BY AN AGENT YOU RUN, ARISING FROM YOUR USE OF THE KIT. THE LICENSOR'S TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR THE KIT.

12. Termination

This license ends automatically if you break its terms. When it ends, you must stop using the Kit and delete your copies of it. Sections 6, 10, 11, and 13 survive termination.

13. General

This license is governed by the laws of the State of Georgia, USA, without regard to its conflict-of-law rules, and any dispute will be heard in the state or federal courts located in Georgia. Nothing in this license limits rights you have under consumer protection laws that cannot be waived by agreement. If any part of this license is found unenforceable, the rest remains in effect. This is the entire agreement between you and the Licensor about the Kit.
